These terms and conditions ("Terms'') between you and COGNATE HEALTH SERVICES PRIVATE LIMITED. a company incorporated under the Companies Act 2013 (18 of 2013) and rule 18 of the Companies(Incorporation) Rules, 2014]of India, having its corporate office at Plot No- Y 9-10 2nd Floor Vipin Garden Main Nazafgarh Road Near-:Metro Piller No-801 New Delhi-110059 ("COGNATE HEALTH SERVICES'') governs your membership with COGNATE HEALTH SERVICES and your use of the membership card issued by COGNATE HEALTH SERVICES ("Preventive Health-check Plan''), as well as the various health benefit offers extended to you by COGNATE HEALTH SERVICES through its network of voluntarily participating medical professionals / dentists / pharmacies / hospitals, other medical practitioners / vendors who are independent practicing professionals and third party health service providers ("Medical Providers'').

The Terms shall be deemed to have been accepted by you whenever you use COGNATE HEALTH SERVICES’s Preventive Health-check Plans and/or any of the packages issued by COGNATE HEALTH SERVICES, or avail any of the health benefits arising there from. You are understood to have read and agree to abide by (on your own behalf and on behalf of your dependents/family) the Terms. You are requested not to use the COGNATE HEALTH SERVICES’s Preventive Healthcheck Plan or any of the Packages issued by COGNATE HEALTH SERVICES, or avail any of the health benefits arising therefrom, if any of the terms and conditions contained in the Terms is unacceptable to you.

COGNATE HEALTH SERVICES CANCELLATION AND REFUND POLICY

This cancellation and refund policy ("Policy'') governs the cancellation of your membership with COGNATE HEALTH SERVICES PRIVATE LIMITED, a company incorporated under the Companies Act, 2013 of India, having its corporate office at Plot No- Y 9-10 2nd Floor Vipin Garden Main Nazafgarh Road Near-:Metro Piller No-801 New Delhi-110059 ("COGNATE HEALTH SERVICES'') and of the membership card issued by COGNATE HEALTH SERVICES ("Healthcare Package Membership''), as well as the refund of the fees paid by you towards purchase of such Preventive Health Care Plan ("Membership Fees'').

In the event that you wish to cancel the Healthcare Package Membership and your membership with COGNATE HEALTH SERVICES, you shall be required to intimate the same to COGNATE HEALTH SERVICES by calling COGNATE HEALTH SERVICES inbound or by sending an email to within 14 (fourteen) days of receipt of the Healthcare Package Membership by you. You shall further be required to return the Healthcare Package Membership and all documents and other items provided to you along with the Healthcare Package Membership ("Healthcare Package Membership Welcome Pack'') by mailing the aforesaid to COGNATE HEALTH SERVICES C/O Cancellation Department at Plot No- Y 9-10 2nd Floor Vipin Garden Main Nazafgarh Road Near-:Metro Piller No-801 New Delhi-110059.

(I) Discontinue the Healthcare Package Membership issued to you and your membership with COGNATE HEALTH SERVICES with immediate effect; and (ii) Issue a refund of the amount paid by you as Membership Fees. On Cancellation as aforesaid, COGNATE HEALTH SERVICES shall intimate you of the fact of such Cancellation and shall inform you of the method of refund of your Membership Fees. Such Cancellation shall be subject to the following terms: Cancellations shall be considered only if (i) a valid request is made in this regard within 14 (fourteen) days of receipt of the Healthcare Package Membership by you, and (ii) the entire Healthcare Package Membership's Welcome Pack is returned to COGNATE HEALTH SERVICES within 14 (fourteen) days of receipt of the cancellation request as aforesaid. For calculation of the aforesaid periods, the records of dispatch, delivery and communications available with COGNATE HEALTH SERVICES shall be considered final. service@Cognatehealthorganisation.com purchased the Healthcare Package Membership under any celebratory / festive offer, or any special / discounted offer of any kind whatsoever. No cancellation shall be carried out if you have purchased the Healthcare Package Membership under any interest free easy monthly installment (EMI) option offered by COGNATE HEALTH SERVICES.

No cancellation shall be carried out if you have in any way availed any of the benefits available under the Healthcare Package Membership prior to confirmation of cancellation by COGNATE HEALTH SERVICES. In the event a request for cancellation is received by COGNATE HEALTH SERVICES after dispatch of the Healthcare Package Membership's Welcome Pack to you, COGNATE HEALTH SERVICES shall deduct an amount of Rs. 1,000 (Rupees one thousand only) or 10% of the membership fee whichever is higher from your membership fees and only the balance shall be refunded to you as part of the cancellation. In the event a request for cancellation is received by COGNATE HEALTH SERVICES after a positive welcome call to you, COGNATE HEALTH SERVICES shall refund up to a maximum of 50% of the membership fee of your membership fees only. All cancellations as approved by the COGNATE HEALTH SERVICES's management as per their discretion shall ordinarily be processed within 30 days of receipt by COGNATE HEALTH SERVICES of the Healthcare Package Membership's Welcome Pack. In case of no contact post approval, the 30 days may get extended.

In the event the entire Healthcare Package Membership's Welcome Pack is not received by COGNATE HEALTH SERVICES within 14 (fourteen) days of receipt of a valid request for cancellation by COGNATE HEALTH SERVICES, COGNATE HEALTH SERVICES shall deduct an amount of Rs. 2,500/- (Rupees two thousand five hundred only) or up to 50% of the membership fee whichever is higher from your Membership Fees and only the balance shall be refunded to you as part of the cancellation. Credit of the membership fees to your bank account / credit card account upon cancellation and refund by COGNATE HEALTH SERVICES shall be as per policies and timelines followed by the banks involved and COGNATE HEALTH SERVICES shall not be responsible for any delays in this regard. You are understood to have read and agree to abide by this Agreement. All information in this communication is correct & updated as per March-2017 and is subject to change at the discretion of COGNATE HEALTH SERVICES. This agreement shall form an integral part of the terms and conditions governing the use of the Healthcare Package Membership available on www.cognatehealthorganisation.com

The Terms & Conditions of the COGNATE HEALTH SERVICES's Healthcare Package Membership's Card, the doctors empanelled with COGNATE HEALTH SERVICES & the offers made on the COGNATE HEALTH SERVICES's Healthcare Package membership card may periodically change. We hence request you to check for these changes on the website or by calling us on our help line numbers on a regular basis. An COGNATE HEALTH SERVICES Member is defined as an individual who has a valid and current COGNATE HEALTH SERVICES's Healthcare Package Membership Card issued by Cognate Health Services Pvt Ltd. Usage of the COGNATE HEALTH SERVICES's Healthcare Package Membership Card by the card holder (COGNATE HEALTH SERVICES Member) implies that the card holder agrees to the following terms and conditions of service & other terms as incorporated herein and understands that these terms govern the use of COGNATE HEALTH SERVICES's Healthcare Package Membership. All COGNATE HEALTH SERVICES members are understood to have read (on their own behalf and on behalf of their dependents/family/other members) the following terms and conditions and

agree to abide by these Terms of Use. Cognate Health Services reserves the right to modify, alter or otherwise update these Terms at any time and all cardholders agree to be bound by such modifications and/ or updates. Members are entitled to receive certain free and subsidised services from Medical Professionals / Organisations / Institutions / Pathology Labs / Radiology Labs / Others, who have done so for the cause of promoting high quality & affordable health care in India (i.e. for societal cause & not for promoting their practice in any way). In order to receive medical services at the subsidised fee, a member must present his / her membership card to the medical service provider / others before services are rendered & agree to the applicable fee accordingly. Members must pay the medical service provider directly at the time of Service unless otherwise agreed upon between medical service provider and the member. If a member wishes to confirm the current fee for a particular dental or medical service, he / she should first contact the helpdesk number of COGNATE HEALTH SERVICES for guidance. MEMBERSHIP TERM: Once the initial "Membership Fee'' and any enrollment, processing or other fee is paid and received, a member will be entitled to the subsidised medical services during the membership period as defined by the expiry date given on the face of the CognateHealth Services's Healthcare Package Membership (from the date of activation) or as otherwise stated on the valid / active COGNATE HEALTH SERVICES's Healthcare Package Membership. RENEWAL OF MEMBERSHIP: Members may be informed at least one month in advance before their membership card expiry date. It is the responsibility of the member to ensure that COGNATE HEALTH SERVICES receives the payment for renewal of membership renewal at least two weeks prior to the membership card expiry. COGNATE HEALTH SERVICES is not responsible and assumes no liability for any disruption of service in case the payment gets delayed or the payment cheques are dishonored. In case of dishonored cheques, a penalty will be charged. The membership card services will remain suspended till the realization of the payment. RENEWAL CHARGES: The charges for renewal can be confirmed by calling the COGNATE HEALTH SERVICES helpdesk number a month in advance of the expiry date. Kindly note that any treatments being offered at subsidised rates will not be offered at these rates by the medical practitioner, as soon as the card validity has lapsed. LOST CARD: In case of loss of membership card, a duplicate membership card may be issued at the nominal charges of Rs. 100 /- (plus the applicable taxes). The tenure of the membership will remain as specified in the initial membership card.

COMPLAINTS:

COGNATE HEALTH SERVICES's Healthcare Package Members are advised to address their complaints, if any, to our representatives. They are there to help you out. However if you are not satisfied, you may write to us at our corporate office address or mail us at service@Cognatehealthorganisation.com. The member's rights or duties under this agreement may not be assigned or delegated without the prior express written consent of COGNATE HEALTH SERVICES. Member agrees that he / she will use his / her package or program membership only for his / her personal benefit or for the benefit of his / her family members/others who have individual COGNATE HEALTH SERVICES's Healthcare Package Membership Cards for themselves (in case of family or couple plan). The Member is responsible for paying Dental & Medical Service Providers and / or vendors / others for all services rendered unless otherwise agreed upon by the Member and Medical / Dental / other Service Provider or vendor. COGNATE HEALTH SERVICES is in no way responsible for the dental / medical / other services provided by a Medical / Dental practitioner or vendor. The COGNATE HEALTH SERVICES's Healthcare Package Membership card provides the member access to a network of voluntarily participating medical professional / dentists & other medical practitioners / vendors who are independent practicing professionals. Participating providers are independent contractors in private practice and are neither employees nor agents of COGNATE HEALTH SERVICES'S HEALTHCARE PACKAGE and / or its parents, subsidiaries or affiliates ("CognateHealth Services Pvt. Ltd''). The

availability of any particular provider cannot be guaranteed, and provider network composition is subject to change without notice. COGNATE HEALTH SERVICES HEALTHCARE PACKAGES does not provide medical, dental or any other treatment and is not responsible for outcomes. All medical, dental and / or other health care services is the responsibility of the treating Medical / Dental Service provider, to be carried out in consultation with the member. Selection of the Medical / Dental Service provider is finally the responsibility of the Member and is not based on any representations or recommendations by COGNATE HEALTH SERVICES. The medical & dental (& other vendors) have agreed to offer their services at subsidised fee for the cause of increasing health awareness, specifically preventive health care & nowhere does it construe that the empanelled doctors and professionals are doing so for commercial reasons. The term "Subsidised Fee'' means a service that is available to a member at a lower cost from fees normally charged by the provider and for which the member is solely financially responsible. The member understands that all payments to providers are due and payable at the time of service. In order to access reduced fee services, the member must present his / her membership & ID card to the provider's office at the time of his / her appointment. The COGNATE HEALTH SERVICES empanelled doctor shall offer the subsidised rates on treatments and procedures managed and serviced by empanelled doctor directly (& not necessarily by other doctors, visiting or consulting doctors etc.) & within the empanelled clinic premise and not for any further treatment, check or service required elsewhere. It may not be necessary that all services, tests, medical fields, doctor types are covered by the COGNATE HEALTH SERVICES. COGNATE HEALTH SERVICES's Healthcare Package Membership Card & the empanelled doctors may not be able to provide subsidised service on select procedures, i.e. the subsidised services may not be offered on all treatments and procedures offered by empanelled practitioner/clinic or laboratory. Any existing offer or package at the clinic or planned by practitioner may not be clubbed and the practitioner may offer only one of the offers (either offer on COGNATE HEALTH SERVICES membership card or existing packages) or on those services. The member should clarify all rates and fees before going forward for any consultation or treatment with the COGNATE HEALTH SERVICES empanelled medical practitioners & shall also clarify the subsidised rates in advance (& all other details about the treatment or checkup or test, etc.) & be satisfied about the same before starting the treatment. COGNATE HEALTH SERVICES shall not participate or be responsible for any dispute on the same (related to rates and subsidised rates once the treatment has started & costs have been incurred). If a particular medical practitioner does not offer the subsidised rates as per the COGNATE HEALTH SERVICES member's satisfaction, the member should contact COGNATE HEALTH SERVICES Helpdesk numbers & COGNATE HEALTH SERVICES will refer the member to other medical practitioners empanelled with COGNATE HEALTH SERVICES. COGNATE HEALTH SERVICES will not be responsible for providing any compensation to the COGNATE HEALTH SERVICES member for the charges levied by the medical practitioner empanelled with COGNATE HEALTH SERVICES. COGNATE HEALTH SERVICES IS NOT A MERCHANT, MANUFACTURER, OR PROVIDER OF THE DENTAL & MEDICAL SERVICES. COGNATE HEALTH SERVICES DOES NOT GIVE ANY WARRANTY, EXPRESS OR IMPLIED, AS TO DESCRIPTION, QUALITY, FITNESS FOR ANY PARTICULAR PURPOSE, PRODUCTIVENESS, OR ANY OTHER MATTER, FOR ANY SERVICES OR MERCHANDISE PURCHASED OR RECEIVED BY A MEMBER FROM A MEDICAL PRACTITIONER, PATHOLOGY LAB / RADIOLOGY LAB/ PROVIDER OR VENDOR THROUGH HIS / HER CARD MEMBERSHIP. IN THE EVENT THAT ANY PRODUCT OR SERVICE PURCHASED OR RECEIVED BY A MEMBER IS DEFECTIVE, OR OTHERWISE UNSATISFACTORY, THE MEMBER WILL DEAL DIRECTLY WITH THE PROVIDER, SELLER, MERCHANT, VENDOR OR MANUFACTURER OF THE PRODUCT OR MEDICAL / DENTAL SERVICE FOR ANY REPAIR, EXCHANGE, REFUND OR SATISFACTION OF CLAIM. COGNATE HEALTH SERVICES & the Medical Practitioners who are part of the COGNATE HEALTH SERVICES's Healthcare Package Membership network reserve the right to revise their charges at any time. each, for himself / herself, and on behalf of any family member who uses the services under the COGNATE HEALTH SERVICES's Healthcare Package hereby forever releases, acquits and discharges each of COGNATE HEALTH SERVICES's Healthcare Package and its employees, officers, directors, agents and affiliates from any and all liabilities, claims, demands, actions and causes of action that such member or his / her legal representative(s) may have by reason of any damage or personal injury sustained as a result of or during the course of the use of any medical / dental service / Other services. COGNATE HEALTH SERVICES's Healthcare Package Membership offered by CognateHealth Services Pvt. Ltd is not health insurance policies. The membership card provides subsidised services through its empanelled doctors at certain health care centers. The membership card holder is obligated to pay for all health care services from those Medical / Dental service providers who have contracted with COGNATE HEALTH SERVICES's Healthcare Package Membership for providing services under the empanelment agreement. This T&C and the relationship between you and COGNATE HEALTH SERVICES will be governed by the laws as applicable in India. Any disputes will be handled in the competent courts of New Delhi, India.

Important Refund Note:

» In case no contact is established with the member(s) by COGNATE HEALTH SERVICES’s central retention team for membership cancellation request, the cancellation process will be put on hold till further contact can be established.
» Cancellation/ refund will be processed only upon receipt / return of the purchased membership kit (unused) by COGNATE HEALTH SERVICES.
» In case there are multiple ongoing dialogues between COGNATE HEALTH SERVICES and the member(s), there may be few instances wherein the time-frame committed for resolving a case may take longer than committed previously.

Collectively referred as the "COGNATE HEALTH SERVICES –Thyrocare/Cognate Health Healthcheck Package(s)'' shall be issued by COGNATE HEALTH SERVICES in manner as may be determined by COGNATE HEALTH SERVICES at its sole discretion.
• You may redeem the COGNATE HEALTH SERVICES –Thyrocare/Cognate Health Health-check Package(s)'' only once in order to avail the COGNATE HEALTH SERVICES –Thyrocare/Cognate Health Healthcheck Package(s) A either by itself or along with the COGNATE HEALTH SERVICES –Thyrocare’s/Cognate Health Package B. It is hereby clarified that you may avail of COGNATE HEALTH SERVICES-Thyrocare’s/Cognate Health Package A as well as COGNATE HEALTH SERVICES –Thyrocare/Cognate Health Healthcheck Package(s) B only if you avail of both simultaneously. You shall not be entitled to avail the COGNATE HEALTH SERVICES –Thyrocare’s/Cognate Health Package’s B without availing the COGNATE HEALTH SERVICES –Thyrocare/Cognate Health Healthcheck Package(s) A. • It is hereby clarified that you may redeem the COGNATE HEALTH SERVICES- Thyrocare’s/Cognate Health Premier Package, COGNATE HEALTH SERVICES- Thyrocare’s/Cognate Health Classic Package and the COGNATE HEALTH SERVICES –Thyrocare/Cognate Health Freedom Healthcheck Package(s) either separately or simultaneously with each other within the stated timeframe and validity by COGNATE HEALTH SERVICES
• You may avail COGNATE HEALTH SERVICES –Thyrocare/Cognate Health Health-check Package A and/or the COGNATE HEALTH SERVICES –Thyrocare/Cognate Health Health-check Package(s) free of any cost, including collection of sample(s) and delivery of reports at the address prescribed by you. You may avail the COGNATE HEALTH SERVICES –Thyrocare’s/Cognate Health Package B by paying an amount of Rs. 200 (Rupees two hundred only) directly to Thyrocare/Cognate Health technician at the time of collection of your blood sample in case home collection services are availed, or when you visit Thyrocare/Cognate Health collection centre.
• Each COGNATE HEALTH SERVICES –Thyrocare/Cognate Health Healthcheck Package shall have a unique identification number ("Thyrocare/Cognate Health Package Number'') and date of expiry ("Thyrocare/Cognate Health Package Expiry Date'') printed/stamped on your package coupon. You may use the relevant Thyrocare/Cognate Health Package, subject to the provisions, T&C’s stated on your package, at any time up till the Expiry Date.
• All COGNATE HEALTH SERVICES –Thyrocare’s/Cognate Health (Classic, Freedom & Premier) package issued can be used by calling COGNATE HEALTH SERVICES’s helpdesk number(s) COGNATE HEALTH SERVICES’s helpdesk is functional on all days, from 7AM till 10PM, except national holidays. Incase no contact is established on the helpdesk number then email to service@cognatehealthorganisation.com
At the time of making such booking, you shall be required to state (i) COGNATE HEALTH SERVICES –Thyrocare/Cognate Health Healthcheck Package Number and COGNATE HEALTH SERVICES –Thyrocare/Cognate Health Healthcheck Package Expiry Date thereof; (ii) if redeeming the Classic COGNATE HEALTH SERVICES-Thyrocare’s/Cognate Health Package, whether you wish to avail of COGNATE HEALTH SERVICES –Thyrocare/Cognate Health Healthcheck Package A by itself or along with COGNATE HEALTH SERVICES –Thyrocare/Cognate Health Healthcheck Package B; (iii) address for collection of sample(s) and delivery of report; (iv) your contact number, preferably your mobile phone number; and (v) 2 (two) alternative convenient dates and timings for collection of sample(s) by authorised technician sent by Thyrocare/Cognate Health . The details of the booking placed with COGNATE HEALTH SERVICES/ Thyrocare/Cognate Health shall be sent to you by way of an email and an SMS. You may avail the COGNATE HEALTH SERVICES –Thyrocare’s/Cognate Health Premier Package, the COGNATE HEALTH SERVICES-Thyrocare’s/Cognate Health Package A and/or the COGNATE HEALTH SERVICES- Thyrocare’s/Cognate Health Package B by handing over a copy of your valid & booked COGNATE HEALTH SERVICES –Thyrocare/Cognate Health Healthcheck Package
» You shall be required to undergo fasting for a minimum of 12 (twelve) hours prior to providing sample(s) for any of the tests specified. It is recommended that you undergo overnight fasting prior to provision of sample(s). Additional directions may be provided to you by Thyrocare/Cognate Health at the time of placing the booking, if required. COGNATE HEALTH SERVICES shall not be responsible in any manner whatsoever if you do not undergo fasting as prescribed herein or follow any directions provided to you.

» You shall be required to obtain confirmation directly from Thyrocare/Cognate Health regarding availability of authorized Thyrocare/Cognate Health service centre and/or provision for collection of samples and delivery of reports at address prescribed by you ("Home Service'') in your city. In the event such Home Service is not available in your city, you shall be required to visit the nearest Thyrocare/Cognate Health service centre for providing sample(s) and collecting reports. The list of cities where Thyrocare/Cognate Health service centre is located is subject to change at any time without prior notice.
• » Reports for the tests carried out shall be made available within 3 (three) to 5 (five) days after collection of sample(s) at (i) the address specified by you, if Home Service is available at your location; or (ii) the Thyrocare/Cognate Health service centre where you provided the sample(s). Reports may also be provided to you by email if requested. » In the event of cancellation of tests by Thyrocare/Cognate Health for various clinical reasons such as the sample becoming unfit for processing due to inadvertent reasons like hemolysation or clotting or quality deterioration of sample, sample becoming insufficient due to multiple retesting of certain parameters, absurd values generated due to reasons not under control etc., Thyrocare/Cognate Health may re-conduct the test/investigation desired by you. Such retesting, including collection of sample(s) from and delivery of reports to the address specified by you, shall be conducted free of any costs or charges of any nature whatsoever to you. However if the reports for the test/investigation desired by you are released and you thereafter ask for retesting, you shall be charged for such retesting as per the prevailing Thyrocare/Cognate Health rates.
• » Neither COGNATE HEALTH SERVICES nor Thyrocare/Cognate Health shall be responsible for any delays in getting the sample(s) to the central processing laboratory of Thyrocare/Cognate Health or in delivery of reports which may arise due to causes beyond their organisational control such as delay by courier agency, unexpected cancellation of commercial flights due to extreme weather conditions, natural calamities or any other force majeure condition, or your absence or unavailability at the address specified by you when report delivery is attempted. In such an event, Thyrocare may, at its discretion and on a case to case basis, re-conduct the test/investigation desired by you, including collection of sample(s) from and delivery of reports to the address specified by the you, free of any costs or charges of any nature whatsoever to you.
• » The COGNATE HEALTH SERVICES –Thyrocare/Cognate Health Healthcheck Package(s), COGNATE HEALTH SERVICES-Thyrocare’s/Cognate Health Package A and/or the COGNATE HEALTH SERVICES –Thyrocare’s/Cognate Health Package B may be withdrawn at any time including during the validity period of the relevant Thyrocare’s/Cognate Health Package at the sole discretion of COGNATE HEALTH SERVICES with or without prior notice.
» Any results generated from any tests conducted through usage of any Thyrocare/Cognate Health Package may not be used for any medico-legal purposes. » All members test reports will be shared by Thyrocare/Cognate Health with COGNATE HEALTH SERVICES, and COGNATE HEALTH SERVICES may use this information, in case an COGNATE HEALTH SERVICES member would not like COGNATE HEALTH SERVICES to use your test reports, he/she must send the mail request (at least 3 days before tests to service@cognatehealthorganisation.com) » Thyrocare/Cognate Health shall be solely responsible for any defect or deficiency with regard to conducting tests/investigations, collection of sample(s) and preparation and delivery of reports, including without limitation deficiency in quality of testing, default in meeting timelines or otherwise. COGNATE HEALTH SERVICES shall not be responsible for any deficiency in service on part of Thyrocare/Cognate Health . Appointment fixing process with COGNATE HEALTH SERVICES

The COGNATE HEALTH SERVICES’s 20-30% Concessional Healthcheck Packages provide you with access to various laboratories located in India, wherein different test can be conducted depending upon the requirement of the User ("Medical Services'') provided by the Medical Service Provider of a particular laboratory at a cost which is lower than the fees normally charged by such Medical Service Provider ("Subsidised Fees''). The details of the Medical Services are as follows:

USAGE OF COGNATE HEALTH SERVICES’S 20-30% CONSESSIONAL HEALTHCHECK PACKAGES:

To avail of the Healthcare Benefit Package, you shall be required to contact COGNATE HEALTH SERVICES by calling the relevant help-desk number. Please Note: COGNATE HEALTH SERVICES’s 20-30% Concessional Healthcheck Package(s) is to be availed within the package's validity period. All appointment requests should be given before the validity period, and utilized before the package's expiry date.

COGNATE HEALTH SERVICES’s helpdesk is functional on all days, from 7AM till 10PM, except national holidays.

You are advised to contact COGNATE HEALTH SERVICES representative and state your COGNATE HEALTH SERVICES profile code, serial number & expiry date (as printed on the booklet/coupon), full correspondence address, contact numbers, email ids and other alternate contact number, a choice of two convenient date/time for appointment, services to be taken at centre visit/laboratories or home collection, as the case may be and other such details as COGNATE HEALTH SERVICES may require, following which COGNATE HEALTH SERVICES shall be able to provide you with a list of laboratories which match your requirements. You may at your discretion contact any of the provided laboratories for availing the Medical Services. You need to contact COGNATE HEALTH SERVICES helpdesk from 7am till 10pm on all days, except national holidays for the purpose of redeeming the COGNATE HEALTH SERVICES’s Healthcheck Packages. It may be noted that the user cannot avail the packages with regard to various profiles under the COGNATE HEALTH SERVICES’s 20-30% Concessional Healthcheck Packages on Sundays.

You are required to fast for 12 (twelve) hours before getting the tests done at any laboratory, for accurate reports. The same is not applicable if a user is undergoing any Allergy & Child test profile.

Payment to the concerned lab shall be made directly by you at the time of availing the concerned health check profile (s), unless otherwise agreed upon between you and the concerned lab. You shall get up to 20-30% concession on each profile only at the selected laboratories identified by COGNATE HEALTH SERVICES. It is pertinent to note that the MRP of the test under different profiles may differ from laboratories to laboratories, and accordingly, the savings on each profile may differ depending on the MRP of each profile. In case you wish to confirm the subsidized fees offered by a particular laboratory, you shall be required to contact the customer care number of COGNATE HEALTH SERVICES. COGNATE HEALTH SERVICES shall provide the details of the charges of the selected profiles applicable at the desired laboratory, at the time of laboratory referral. COGNATE HEALTH SERVICES shall have the right to revise the prices of the profiles set out in the COGNATE HEALTH SERVICES’s Health-check Packages without giving any prior notice for the same.

Once the appointment is confirmed, you are required to undergo all the tests mentioned in the selected profile at the desired laboratory. You are further requested to hand over the profile leaf at the desired laboratory before availing of the Medical Services. Each profile test shall be done in accordance with the test defined on profile voucher as A or B. The responsibility of collecting the test reports shall be on you pursuant to the redemption of voucher, and the same shall be collected from the concerned laboratory, where the test was conducted.

It is hereby clarified that the confirmation for the appointment for availing of the Medical Services or home collection facility is subject to the availability and time of the Medical Service Provider. In the event of non-availability of home collection facility for a given package is not available in your city/ location; you may be required to visit the laboratories nearest to your location as per the address provided by COGNATE HEALTH SERVICES helpdesk. You shall not be entitled to any concession on the fees pertaining to the Medical Services in case the home collection facility (for the purpose of receiving such Medical Services) is availed by you. You shall be required to pay any amount ranging from Rs. 100/- (Rupees fifty only) to Rs. 200/- (Rupees two hundred only) to the referred lab/lab technician depending on the distance of the laboratory from the collection area.

It is further clarified that any complaint or dispute regarding the standard of service or findings in relation to reports issued by the laboratories shall be solely handled and resolved directly by the respective Medical Service Provider. COGNATE HEALTH SERVICES shall not be responsible for any such complaint or dispute raised by you, and shall not be made party to any legal proceedings in relation to such disputes or complaints.

Please note: COGNATE HEALTH SERVICES's 20-30% concessional lab test package(s) is to be availed within the package's validity period. All appointment requests should be given before the validity period, and utilized before the package's expiry date with minimum 48 hours’ notice in advance.

DIET FIT PACKAGE

COGNATE HEALTH SERVICES’s Diet Fit Package(s) are to be availed only by valid COGNATE HEALTH SERVICES member(s), under the adherence of the COGNATE HEALTH SERVICES’s membership plan purchased. If applicable, you are further entitled to customized diet package designed

and provided by Medical Providers to members of COGNATE HEALTH SERVICES ("Diet Fit Package''). Such diet package may be availed by using the specialized package issued by COGNATE HEALTH SERVICES for this purpose ("Diet Fit Package''). The Diet Fit Package shall, in addition to as stated in these Terms, be subject to the following terms and conditions:

» The Diet Fit Package shall be issued by COGNATE HEALTH SERVICES to you in such manner as may be determined by COGNATE HEALTH SERVICES at its sole discretion. The COGNATE HEALTH SERVICES’s Diet Fit Package may be redeemed only by holders of a valid COGNATE HEALTH SERVICES’s Diet Fit Package. The COGNATE HEALTH SERVICES’s Diet Fit Package shall have a unique identification number ("COGNATE HEALTH SERVICES’s Diet Fit Package Number'') and date of expiry ("COGNATE HEALTH SERVICES’s Diet Fit Package Expiry Date'') provided on it. You may use the COGNATE HEALTH SERVICES’s Diet Fit Package to avail of the relevant COGNATE HEALTH SERVICES’s Diet Fit Package, subject to the provisions stated in these Terms, at any time up till the COGNATE HEALTH SERVICES’s Diet Fit Package Expiry Date.

• » You shall be entitled to receive the following as part of every COGNATE HEALTH SERVICES’s Diet Fit Package:
» Phone call from an experienced specialist, including a duly qualified doctor and nutritionist, on the roster of a Medical Provider ("Dietician'') to understand your overall lifestyle pattern and to provide customized diet plans to you based on the information provided by you ("COGNATE HEALTH SERVICES’s Diet Fit Consultation Call'');
• » Phone call from the Dietician enquiring about how and what has been your development so far ("Follow-up Call'');
» Daily SMS consisting of dietary health tips customized as per your medical health requirements ("Diet Fit SMS''); and
• » Email newsletter consisting of diet plans, recipes and diet charts customized as per your requirements along with general dietary health tips ("Diet Fit Email'')
» The COGNATE HEALTH SERVICES’s Diet Fit Package purchased by you with duration of (a) 3 (three) month ("Three Month Diet Fit Package''). You shall be entitled to the following based on the Diet Fit Package purchased by you
• » You shall be required to make the COGNATE HEALTH SERVICES’s Diet Fit Registration Call as aforesaid within the following periods:
» If you have purchased the One Month COGNATE HEALTH SERVICES’s Diet Fit Package, within 45 (forty five) days of the date of purchase of the COGNATE HEALTH SERVICES’s Diet Fit Package;
• » If you have purchased the Three Months COGNATE HEALTH SERVICES’s Diet Fit Package, within 90 (ninety) days of the date of purchase of the COGNATE HEALTH SERVICES’s Diet Fit Package;
and » If you have purchased the Six Months Diet Fit Package, within 90 (ninety) days of the date of purchase of the COGNATE HEALTH SERVICES’s Diet Fit Package.
• » At the time of making the COGNATE HEALTH SERVICES’s Diet Fit Package’s Registration Call to the COGNATE HEALTH SERVICES helpdesk, you shall be required to state your COGNATE HEALTH SERVICES’s Diet Fit Package Number as provided on your COGNATE HEALTH SERVICES’s Diet Fit Package and the provision of benefits under the COGNATE HEALTH SERVICES’s Diet Fit Packages to you shall be subject to such COGNATE HEALTH SERVICES’s Diet Fit Package Number being found to be due and valid. You shall also be required to provide certain additional details to the COGNATE HEALTH SERVICES help desk executive during the COGNATE HEALTH SERVICES’s Diet Fit Registration Call, including the following:
• » Full demographic details as requested;
• » Contact details (valid mobile number and email ID);
• » Vital statistics, i.e., height in feet, weight in kilograms, waist circumferences in centimetres, etc;
• » COGNATE HEALTH SERVICES’s Diet Fit Package’s duration;
• » Purchase date of the relevant COGNATE HEALTH SERVICES’s Diet Fit Package;
• » COGNATE HEALTH SERVICES’s Diet Fit Package’s Expiry Date.
» In addition to the above, the COGNATE HEALTH SERVICES helpdesk representative shall fill out a questionnaire about your lifestyle pattern and dietary habits ("Questionnaire'') on your behalf during the COGNATE HEALTH SERVICES’s Diet Fit Registration Call. For such purpose, you shall be required to provide all information as may be requested by the COGNATE HEALTH SERVICES helpdesk representative.
» You shall further be required to provide to the COGNATE HEALTH SERVICES help desk representative during the COGNATE HEALTH SERVICES’s Diet Fit Registration Call, to be included in the Questionnaire, two alternative convenient dates and times on which the Dietician may make the Consultation Call. Such convenient dates and times should be not less than 48 (forty eight) hours and not more than 7 (seven) days from the time of the Registration Call.
» Within 24 (twenty four) hours of successful completion of the COGNATE HEALTH SERVICES’s Diet Fit Package’s Registration Call, you shall be sent an e-mail and/or an SMS confirming submission of the Questionnaire and stating the date and time, from amongst the two alternative dates and times specified by you, on which the Consultation Call shall occur. The email and/or SMS sent to you shall also contain a link to a website along with login details and password which you may use to access your customized COGNATE HEALTH SERVICES’s Diet Fit Package portal page. You shall be required to access such customized COGNATE HEALTH SERVICES’s Diet Fit Package portal page using the login details and password provided within 7 (seven) days of receiving the same, post which the link and login details as provided shall be deactivated.
• » You may modify the preferred dates and times for the Consultation Call provided by you during the COGNATE HEALTH SERVICES’s Diet Fit Package’s Registration Call through your COGNATE HEALTH SERVICES’s Diet Fit Package’s portal page at any time prior to 24 (twenty four) hours before your scheduled Consultation Call, provided that such rescheduled date and time should not be less than 48 (forty eight) hours from the time of submission of your amended date and time.
» On the date and time stated, the Dietician shall make the Consultation Call. Such Consultation Call shall not be made unless the Questionnaire is duly filled up and submitted as required. The Consultation Call may last up to approximately 30 (thirty) minutes and you should make himself available accordingly. In the event you are not available at the specified time, the Dietician shall call later on the same date or, failing that, on the immediately succeeding day.
•» Provision of the COGNATE HEALTH SERVICES’s Diet Fit Package SMSs to you shall commence within 24 (twenty four) hours of the Consultation Call. Further, provision of the COGNATE HEALTH SERVICES’s Diet Fit Package Emails to you shall commence within 48 (forty eight) hours of the Consultation Call.
» You shall receive the first Follow-up Call within 15 (fifteen) days of the Consultation Call. Any further Follow-up Calls to be made based on the Diet Fit Package purchased by you shall be made not later than 30 (thirty) days after the immediately preceding Follow-up Call. In the event the Dietician is unable to reach you for any Follow-up Call, he/she shall make the relevant Follow-up Call later during the same day or on the immediately succeeding day.
• » The COGNATE HEALTH SERVICES’s Diet Fit Package SMSs shall be sent to you once a day during the tenure of your Diet Fit Package on the mobile number provided by you to COGNATE HEALTH SERVICES help desk representative during the Registration Call. Further, the COGNATE HEALTH SERVICES’s Diet Fit Package Emails shall be sent to you once a week during the tenure of your COGNATE HEALTH SERVICES’s Diet Fit Package on the email address provided by you to COGNATE HEALTH SERVICES. The number of COGNATE HEALTH SERVICES’s Diet Fit Package SMSs and COGNATE HEALTH SERVICES’s Diet Fit Package Emails shall however be subject to the maximum prescribed hereinabove for the relevant COGNATE HEALTH SERVICES’s Diet Fit Package purchased by you.
• » In the event you wish to extend the tenure of your COGNATE HEALTH SERVICES’s Diet Fit Package, you shall be required to purchase a new COGNATE HEALTH SERVICES’s Diet Fit Package by contacting COGNATE HEALTH SERVICES from 9 am till 6 pm (on all days, except national holidays) ("Diet Fit Renewal Call''). During the COGNATE HEALTH SERVICES’s Diet Fit Package’s Renewal Call, you shall be required to make payment for the relevant new COGNATE HEALTH SERVICES’s Diet Fit Package you wish to purchase. Further, at the time of making the COGNATE HEALTH SERVICES’s Diet Fit Package’s Renewal Call, you shall be required to provide certain details to the COGNATE HEALTH SERVICES helpdesk representative as requested during the COGNATE HEALTH SERVICES’s Diet Fit Package’s Renewal Call, as well as provide all requisite details to the COGNATE HEALTH SERVICES helpdesk representative in order to enable the COGNATE HEALTH SERVICES help desk representative to complete a short questionnaire ("Package Renewal Questionnaire'').
» All provisions of these Terms in relation to the COGNATE HEALTH SERVICES’s Diet Fit Package’s Registration Call shall apply mutatis mutandis to the Diet Fit Package’s Renewal Call, and all provisions of these Terms in relation to the Questionnaire shall apply mutatis mutandis to the Renewal Questionnaire. Further, the procedure as described in these Terms after successful completion of the COGNATE HEALTH SERVICES’s Diet Fit Registration Call shall be mutatis mutandis applicable after successful completion of the COGNATE HEALTH SERVICES’s Diet Fit Package’s Renewal Call.
• » The truncated procedure relating to COGNATE HEALTH SERVICES’s Diet Fit Package’s Renewal Call and Renewal Questionnaire as specified hereinabove shall be applicable only if (a) the Diet Fit Renewal Call is made by you to COGNATE HEALTH SERVICES by calling the relevant help-desk number as provided above within 1 (one) year of expiry of your previous Diet Fit Package; and (b) the user of the initial COGNATE HEALTH SERVICES’s Diet Fit Package remains the user of the subsequently purchased Diet Fit Package. In case you wish to purchase a new COGNATE HEALTH SERVICES’s Diet Fit Package after the expiry of the aforesaid period of 1 (one) year, or if the user of the new COGNATE HEALTH SERVICES’s Diet Fit Package has changed, you shall be required to purchase an COGNATE HEALTH SERVICES’s Diet Fit Package and comply with the provisions relating to COGNATE HEALTH SERVICES’s Diet Fit Package’s Registration Call and Questionnaire as specified hereinabove.
» You hereby acknowledge and agree that you shall not be entitled to any of the benefits arising from the relevant COGNATE HEALTH SERVICES’s Diet Fit Package purchased by you in the event any of the actions required to be taken by you as stated in these Terms are not duly taken by you within the relevant time periods specified herein. » You hereby acknowledge that the Dieticians shall provide interim medical advice only as such Dietician cannot check you physically. Any advice provided by any Dietician shall not be construed as final and shall be subject to a physical check-up conducted by a duly qualified medical professional. No sensitive or critical advice or prescription of any kind shall be given to you by any Dietician. In case of any requirement you may have which cannot, in the Dietician’s reasonable opinion, be addressed over the telephone, you are advised to physically consult the required medical specialist.
• » Any queries by you in relation to the COGNATE HEALTH SERVICES’s Diet Fit Package should be intimated to COGNATE HEALTH SERVICES by sending an email to COGNATE HEALTH SERVICES at service@cognatehealthorganisation.com or by calling the relevant helpdesk number provided hereinabove from 9 am till 6 pm - (on all days, except national holidays). COGNATE HEALTH SERVICES will endeavor to address all queries within 48 (forty eight) working hours.

4.COGNATE HEALTH SERVICES's Dental Package T&C » The Dental Package shall be issued by COGNATE HEALTH SERVICES to you in such manner as may be determined by COGNATE HEALTH SERVICES at its sole discretion. The Dental Package may be redeemed only by holders of a valid Dental Package. The Dental Package shall have a unique identification number ("Dental Package Number'') and date of expiry ("Dental Package Expiry Date'') provided on it. You may use the Dental Package to avail of the Dental Package, subject to the provisions stated in these Terms, at any time up till the Dental Package Expiry Date. » As part of the Dental Package, you shall be entitled to one session of basic oral prophylaxis treatment consisting of ultrasound cleaning and scaling of teeth free of cost. The Dental Package does not include any advanced cleaning processes like ozone based cleaning or any other process or benefit whatsoever.
» To use the Dental Package ("Booking Call''), you shall be required to contact COGNATE HEALTH SERVICES by calling COGNATE HEALTH SERVICES’s Helpdesk at the relevant numbers. COGNATE HEALTH SERVICES’s helpdesk is functional on all days, from 7AM till 10PM, except national holidays.
» At the time of making the Booking Call, you shall be required to state your Dental Package Number and Dental Package Expiry Date thereof, and the provision of benefits under the Dental Package to you shall be subject to such Dental Package being found to be due and valid.
» On receiving a Booking Call, the representative of COGNATE HEALTH SERVICES shall inform you of the Medical Providers with whom the Dental Package may be availed situated nearest to your location as intimated to COGNATE HEALTH SERVICES. The final selection of any of the alternatives provided shall be at your sole discretion.
» You shall be required to provide 2 (two) alternative dates and times for making a booking for availing the benefits under the Dental Package to the COGNATE HEALTH SERVICES representative during the Booking Call. In the event a booking is unable to be made during either of the 2 (two) alternative dates and times provided by you, a representative of COGNATE HEALTH SERVICES shall call you on the number provided by you during the Booking Call with suggested alternative dates and times for such booking. You shall be required to confirm the booking at such date and time.
» When a booking is successfully made for either of the alternatives as specified by you, or for the suggested date and time confirmed by you subsequently, COGNATE HEALTH SERVICES shall send confirmation of such booking to you by way of SMS to the number provided by you during the Booking Call.
» You shall be required to present a copy of your Dental Package at the time of availing the Dental Package.
» In the event you wish to change your booking date and time, you shall be entitled to do so by calling the relevant help-desk number during the times mentioned hereinabove not less than 24 (twenty four) hours prior to your scheduled booking. Any re-booking shall be subject to availability of the Medical Provider. In the event you fail to call the relevant COGNATE HEALTH SERVICES help-desk number within the time period as aforesaid, you shall not be entitled to any re-booking or further opportunity to avail the benefits of the Dental Package. Please note:l COGNATE HEALTH SERVICES's Dental Cleaning & Scaling Package(s) is to be availed within the package's validity period. All appointment requests should be given before the validity period, and utilized before the package's expiry date. GENERAL TERMS AND CONDITIONS FOR COGNATE HEALTH SERVICES PACKAGE(S):
» COGNATE HEALTH SERVICES reserves the right, in its sole discretion and without any obligation, to make improvements to, or correct any error or omissions in, any portion of the COGNATE HEALTH SERVICES’s Health-check Packages or any coupon issued to you by COGNATE HEALTH SERVICES and update information from time to time.
» Neither COGNATE HEALTH SERVICES nor any Medical Service Provider shall be obliged to provide any services otherwise than in compliance with applicable laws. COGNATE HEALTH SERVICES shall not be responsible for any claims arising out of technical failures which shall include failure in telephone lines, failure of servers, or failure to provide correct updates due to technical snags at any time. Further, COGNATE HEALTH SERVICES shall not be responsible for any claims arising out of any failure(s) which are beyond the control of COGNATE HEALTH SERVICES.
» Any coupon offered by COGNATE HEALTH SERVICES may be issued in such manner and form, whether paper, electronic or otherwise, as it deems fit. If determined by COGNATE HEALTH SERVICES, such coupons may be issued to / purchased by, and be redeemable by, customers of COGNATE HEALTH SERVICES not holding COGNATE HEALTH SERVICES’s Health Check Packages as well.
» You agree to defend, indemnify and hold harmless COGNATE HEALTH SERVICES from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) any unauthorized or improper access and use of the COGNATE HEALTH SERVICES’s Health-check Packages and/or any coupon issued to you by COGNATE HEALTH SERVICES; (ii) your violation of any term of these Terms; (iii) your violation of any law; or (iv) your violation of the rights of a third party, including the infringement by you of any intellectual property or other right of any person or entity. These obligations will survive any termination of the Terms.
You agree to being contacted by COGNATE HEALTH SERVICES and its representatives through Phone, Email and SMS, in spite of being registered in the National DNC/DND list.
Neither COGNATE HEALTH SERVICES nor any Medical Service Provider shall assume any liability or responsibility for any claims, damages, consequences and/or orders of any statutory bodies or consumer forums not arising from any default or negligence on the part of COGNATE HEALTH SERVICES or the relevant Medical Service Provider, as the case may be

» COGNATE HEALTH SERVICES is not a merchant, manufacturer, or provider of the Medical Services. COGNATE HEALTH SERVICES does not give any warranty, express or implied, as to description, quality, fitness for any particular purpose, productiveness, or any other matter, for any services or merchandise purchased or received by you from a Medical Service Provider through your COGNATE HEALTH SERVICES’s Packages or any coupon issued by COGNATE HEALTH SERVICES. In the event that any service received by you is unsatisfactory, you will be required to deal directly with the Medical Service Provider for any refund or satisfaction of claim. COGNATE HEALTH SERVICES and the Medical Service Provider reserve the right to revise their charges at any time.
• » You, for yourself and on behalf of any family member who uses the services under the COGNATE HEALTH SERVICES’s Packages, hereby forever release, acquit and discharge each of COGNATE HEALTH SERVICES and its employees, officers, directors, agents and affiliates from any and all liabilities, claims, demands, actions and causes of action that you or your legal representative(s) may have by reason of any damage or personal injury sustained as a result of or during the course of the use of any Medical Services. • » COGNATE HEALTH SERVICES’s Packages offered by COGNATE HEALTH SERVICES are not health insurance policies. The COGNATE HEALTH SERVICES’s Packages provides subsidized services through the Medical Service Provider at certain health care centers. The benefits provided through COGNATE HEALTH SERVICES’s Health-check Packages are not applicable if you claim insurance benefits on the medical services provided.
• » Medical Service Providers are independent entities / professionals in private practice and are neither employees nor agents of COGNATE HEALTH SERVICES and/or its parents, subsidiaries or affiliates. All doctors, dentists, laboratories and other medical practitioners/providers are welcome to participate in this social cause and partner with COGNATE HEALTH SERVICES to make a lasting impact on the health of the common man.
» COGNATE HEALTH SERVICES does not recommend or suggest any particular Medical Service Provider or promote any particular Medical Service Provider's name or practice. You agree that selection of a Medical Service Provider based on the availability and time to avail Medical Services from is your sole discretion and is not based on any representations or recommendations by COGNATE HEALTH SERVICES, and is therefore your sole and exclusive responsibility.
• » The availability of any particular Medical Service Provider at any time cannot be guaranteed. The list of Medical Service Providers offering Medical Services at Subsidized Fees is subject to change without notice.

The Medical Service Providers have agreed to offer their services at the subsidized fees / without any charge, as the case may be, for the cause of increasing health awareness, in particular preventive health care, and in no way shall it be construed that the empanelled Medical Service Providers are doing so for commercial reasons. Any Medical Service Provider proved to be offering the Medical Services for commercial reasons may be reported to COGNATE HEALTH SERVICES and, subject to furnishing of adequate proof, such Medical Service Provider shall be de-empanelled.
• » COGNATE HEALTH SERVICES is facilitators in providing access to quality Healthcare services and in helping people save on their health care costs. COGNATE HEALTH SERVICES does not provide any Medical Services and is not responsible for the outcome of any services availed from any Medical Service Provider. All Medical Services are the responsibility of the concerned Medical Service Provider, to be carried out in consultation with you.
• » COGNATE HEALTH SERVICES offerings are not insurance and do not involve any reimbursement paid to you, or any other person holding a valid COGNATE HEALTH SERVICES’s Health-check Packages or any other membership card of COGNATE HEALTH SERVICES, for any of the services offered by COGNATE HEALTH SERVICES.
• » Except as otherwise specifically stated herein, COGNATE HEALTH SERVICES agrees to keep your information confidential as provided in our Privacy Policy. Any personal information, contact details, feedback data or similar information provided by you to COGNATE HEALTH SERVICES shall be treated as confidential information. You expressly acknowledge and agree that the calls made by you to COGNATE HEALTH SERVICES and/or the calls made to you by any Medical Service Provider shall be recorded for the purposes of quality and for maintaining the record of your health information, and may be shared with a Medical Service Provider, if required, from time to time.
» You hereby agree that certain information in relation to the COGNATE HEALTH SERVICES’s Packages, any coupon issued by COGNATE HEALTH SERVICES, including in relation to any of the Medical Services, whether provided by you or generated by COGNATE HEALTH SERVICES / any Medical Service Provider associated with COGNATE HEALTH SERVICES, may be shared amongst COGNATE HEALTH SERVICES and the Medical Service Providers strictly for the purposes of carrying out their respective obligations in relation to provision of the Medical Services to you. In case you do not wish for COGNATE HEALTH SERVICES to use your information for such purpose, you shall be required to send a request regarding the same by way of email to service@cognatehealthorganisation.com. However, you expressly acknowledge and understand that doing so may affect the provision of Medical Services to you in such manner as determined by COGNATE HEALTH SERVICES and/or a Medical Service Provider.
• » Subject to the provisions of applicable law, your usage of the COGNATE HEALTH SERVICES’s Packages and/or any coupon issued by COGNATE HEALTH SERVICES entitles COGNATE HEALTH SERVICES to contact you by way of Telephone call, SMS or any other mode of communication even if your number is registered on DND/DNC registry, for the coupon used by you and/or your membership with COGNATE HEALTH SERVICES.
• » No COGNATE HEALTH SERVICES’s Packages or any coupon issued to you by COGNATE HEALTH SERVICES may be redeemed for cash or used to avail of any services / benefits not specified to be part of the COGNATE HEALTH SERVICES’s Packages or the relevant coupon, as the case may be, at any time.
• » Any advice provided by any Medical Service Provider shall depend solely on the accuracy of the information provided by you. Neither COGNATE HEALTH SERVICES nor any Medical Service Provider shall be responsible for any damage, physical, psychological or financial, caused to you due to any improper/unintended use of the COGNATE HEALTH SERVICES’s Health-check Packages, any coupon issued to you or any of the benefits available there under, which includes but is not limited to the interpretation of the advice given by any Medical Service Provider by you or by any unqualified personnel.
• » You hereby agree that no Medical Service Provider providing any services over the telephone shall be obligated to provide call-back service in the event of a call-drop or any similar circumstance except as provided in these Terms.
» In no event shall COGNATE HEALTH SERVICES and/or any Medical Service Provider be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit damages arising from your use of the COGNATE HEALTH SERVICES’s Health-check Packages and/or any of the services offered to you by COGNATE HEALTH SERVICES in any manner. You shall not be entitled to specific performance of any of the Terms. The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction and, regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to COGNATE HEALTH SERVICES for the COGNATE HEALTH SERVICES’s Packages. You specifically agree and understand that neither COGNATE HEALTH SERVICES nor any Medical Service Provider is liable to you for any content or illegal conduct of any third party and that you alone accept such risk of harm.
» The views and suggestions expressed by Medical Service Providers in the course of providing the Medical Services shall in no manner be construed as an endorsement by COGNATE HEALTH SERVICES of any such advice and views and COGNATE HEALTH SERVICES shall not be responsible in any manner for any such advice.
» To the fullest extent permissible by law COGNATE HEALTH SERVICES disclaims all possible warranties or representations about the accuracy or completeness of the content regarding the Medical Services provided by Medical Service Providers, nor can COGNATE HEALTH SERVICES be held liable or responsible for any (i) errors, omissions or inaccuracies of content or submissions; (ii) personal injury or property damage of any nature resulting from your access to and end use of the Medical Services; (iii) any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information that may be contained therein; (iv) any deletion of data or interruption or discontinuance of transmission to or from or through the Medical Services; and (v) any content or transactions that is contained or may be available outside the Medical Services.
• » COGNATE HEALTH SERVICES shall not be responsible for any deficiency in service on part of any Medical Service Provider. Any complaint by you regarding the standard of service or quality, or anything in relation to the Medical Services provided by any Medical Service Provider shall be solely handled and resolved directly by the relevant Medical Service Provider. COGNATE HEALTH SERVICES shall not be responsible for any such complaints.
» COGNATE HEALTH SERVICES is entitled, without any liability whatsoever, to refuse, limit, suspend, vary or discontinue the provision of any of the Medical Services at any time for any reasonable cause, including but not limited to the following:
• » Any violation of these Terms or of any applicable law, rule, regulation, order, direction, notification or the like issued by any competent authority; » Technical failure, modification, up-gradation, variation, relocation, repair and/or maintenance of relevant computer or other systems/equipment; » Any other reason found to be reasonable by COGNATE HEALTH SERVICES at its discretion.
» Notwithstanding the aforesaid, the provision of Medical Services by any Medical Service Provider and any matter relating thereto including but not limited to the manner and the form in which the Medical Services may be made available to you may be altered, withdrawn, modified or changed at any point of time. You agree to be bound by any such modifications. » Any provision of the terms and conditions that are declared invalid or unenforceable by a court of competent jurisdiction shall be ineffective to the extent of such invalidity or un enforceability without invalidating or rendering unenforceable the remaining provisions hereof.
» COGNATE HEALTH SERVICES reserves the right to modify the Terms from time to time and it shall be your responsibility to keep yourself updated with the Terms. You agree to be bound by such modifications.
» The provisions of the Terms are personal to you and you may not assign your rights and obligations under the Terms to any person.
» You agree to comply with the local laws of the territory where you are located for usage of the COGNATE HEALTH SERVICES’s Packages and/or any coupon issued to you by COGNATE HEALTH SERVICES, and COGNATE HEALTH SERVICES does not have any responsibility for any violation of laws by you. The Terms shall be governed by the laws of India and the courts at New Delhi will have exclusive jurisdiction thereupon.
